These Terms of Relay’s Sign Up Bonus Offer (“Terms”) are made available by Relay Financial (US) Corp, Inc. (“Relay” or “we”/”us”). This promotional offer is conditional on your acceptance of and compliance with these Terms below, as well as our Privacy Policy (https://relayfi.com/privacy) which governs our use of your personal information, and our Terms of Service (https://relayfi.com/terms) (“Terms of Service”) which grants the rights to register for a Relay account and to access the Relay financial services platform (“Relay Platform”), all of which are available on https://relayfi.com (the “Website”).
Promotional Offer
This Promotional Offer is open to organizations that have no previous relationship with Relay (“Eligible Organizations”). Where an Eligible Organization has (a) successfully registered for a Relay business checking account (“Account”) using the designated partner landing page provided by Relay, (b) funds their account within 30 days of account approval, and (c) maintains a minimum balance of one hundred dollars ($100) in their new Account for sixty (60) consecutive calendar days ("Minimum Balance Requirement"), a one-time signup bonus will be deposited into the Eligible Organization's Account within fourteen (14) business days after meeting the Minimum Balance Requirements and the minimum hold time. The amount of the one-time signup bonus will be between $25-$300 as determined by participating partners. Each Relay user can only claim one bonus. Relay reserves the right to clawback the sign-up bonus from organizations in the event their account is subsequently closed or offboarded by Relay for other ineligibility or risk disqualification reasons.
Registration Period
Organizations will be able to register for the Offer starting on February 1, 2025 at 12:00AM EST (the “Registration Period”).

Limitation of Liability
Disclaimer. There are no warranties or conditions (whether implied or arising by statute or otherwise in law or from a course of dealing or usage of trade) for the Relay Platform, services or support, and RELAY DISCLAIMS ALL STATUTORY OR IMPLIED WARRANTIES AND CONDITIONS INCLUDING WITHOUT LIMITATION THE CONDITIONS AND/OR WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY OR FITNESS FOR ANY PURPOSE, PARTICULAR, SPECIFIC OR OTHERWISE. Relay does not warrant that the functions contained in the Relay Platform will meet the Customer’s requirements or that the operation of the Relay Platform will be uninterrupted.
UNLESS PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL RELAY OR ITS AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES OF ANY KIND, WHETHER OR NOT FORESEEABLE INCLUDING WITHOUT LIMITATION, LOSS OF BUSINESS, LOST PROFITS OR REVENUE, OR FAILURE TO REALIZE EXPECTED SAVINGS, EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL AGGREGATE LIABILITY OF RELAY FOR DIRECT DAMAGES UNDER THIS AGREEMENT SHALL BE LIMITED TO THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE DATE ON WHICH THE CAUSE OF ACTION GIVING RISE TO THE LIABILITY AROSE. YOU WILL BE RESPONSIBLE FOR ANY LOSS, COST OR LIABILITY (INCLUDING REASONABLE LEGAL CHARGES) INCURRED BY US AS A RESULT OF YOUR FAILURE TO COMPLY WITH THIS AGREEMENT.
Waiver and Severability
The failure of Relay to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
Controlling Law and Jurisdiction
These Terms and any action related thereto will be governed by the laws of the Province of Ontario, Canada for Canadian residents and the laws of the state of Delaware for United States citizens, without regard to or application of its conflict of law provisions or your province or country of residence. All claims, legal proceedings or litigation arising in connection with these Terms will be brought solely in the Province of Ontario, Canada for Canadian residents and the state of Delaware for United States residents. By participating in this promotion, you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.
Entire Agreement
These Terms, our Privacy Policy, and our Terms of Service are the entire and exclusive agreement between Relay and you regarding the Offer, the Website and Relay’s services and these Terms supersede and replace any prior agreements between Relay and you regarding the Website and Relay’s Services.
